Koala Sampler Sample Pack Usage Licence

This Sample Pack Usage Licence (“Agreement”) governs your use of the audio samples provided with Koala Sampler, including those made available through in-app purchases (collectively, the “Samples”). By downloading, accessing, or using the Samples, you agree to the terms of this Agreement. If you are using the Samples on behalf of an organisation, you confirm that you have the authority to bind that organisation to this Agreement

The Samples are provided to you on a royalty-free basis, subject to the terms of this Agreement. All rights to the Samples remain with their original owners and/or Mazbox Limited of Onega House, 112 Main Road, Sidcup, Kent, DA14 6NE, United Kingdom (registered company number 07511858) (collectively, “Licensor,” “we,” “us,” or “our”). The Samples are licensed—not sold—to you, the original end user (“Licensee,” “you,” or “your”), for use under the conditions set out below. Any rights not expressly granted to you under this Agreement are reserved by the Licensor.

  1. In this Agreement, “Samples” means audio loops, one-shots, instrumental recordings, sound effects, and rendered audio output of software instruments included with or purchased through Koala Sampler. It does not include the software itself.
  2. You may use the Samples in your own music and audio compositions—whether for commercial or non-commercial purposes—without needing prior permission from us, as long as you comply with the terms of this Agreement.
  3. You are given a non-exclusive, world-wide, royalty-free, perpetual, non-transferable and non-sublicensable licence to use and modify the Samples but only as part of a broader musical composition that includes other sounds.
  4. You may not use, distribute, sell, lend, rent, broadcast, share, assign, transfer, or sublicense the Samples—whether commercially or otherwise—
  5. You may not sublicense, resell, loan, rent, lease, assign, upload to or download from any shared server, or otherwise transfer, distribute, or make the Samples (or any modified version of them) available to others—except when they are embedded within your original musical compositions.
  6. You acknowledge that all copyrights and other intellectual property rights in the Samples are and will remain the property of the Licensor. You are granted only the limited rights set out in this Agreement and do not acquire any ownership or other rights in the Samples.
  7. You own the intellectual property rights in your original musical works or recordings that incorporate the Samples. However, you do not own any rights in the Samples themselves, even when they are included in your compositions. As long as you comply with this Agreement, you are free to copy, modify, reproduce, distribute, perform, transmit, sublicense, and otherwise use your musical works without needing our prior permission.
  8. You acknowledge that other users are also licensed to use the Samples in their own musical compositions, and you have no right to prevent them from doing so. It is your responsibility to ensure that you have obtained all necessary rights for any other sounds or content—whether from our Samples or third parties—that you include in your recordings, especially if such material is protected by copyright or other intellectual property laws.
  9. To the maximum extent permitted by law, you agree to indemnify and hold us harmless from any reasonable costs, losses, liabilities, damages, or expenses we incur as a result of claims arising from your use or misuse of the Samples, or from your use of any third-party intellectual property that you do not own or properly license.
  10. To the fullest extent permitted by law, we make no warranties that the Samples are accurate, complete, non-infringing, reliable, error-free, or will meet your specific needs. The Samples are provided “as is” and “as available.” We will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages—including loss of profits, goodwill, or other intangible losses—arising from your use of the Samples.
  11. You may not assign or transfer this Agreement to any other party without our prior written consent. Nothing in this Agreement creates a partnership, joint venture, or any other formal legal relationship between you and us. This Agreement is governed by the laws of England and Wales, and any disputes related to it—whether contractual or otherwise—will be subject to the exclusive jurisdiction of the courts of England and Wales.
